G & P is a medium-sized firm of attorneys, tax advisers and auditors with its main office in Frankfurt/Main. Further offices are located in Berlin, Hamburg, and Cologne.
Our main areas of practice include corporate and tax law, merg-ers & acquisitions, banking and finance, capital markets, commercial law, labor and employment law, antitrust law as well as international law. Our clients include top-ranking national and international financial institutions, private and public corporations and privately held businesses. The interdisciplinary approach of our firm (giving legal, tax as well as financial advice) is highly appreciated by our clients. This approach is accomplished by combining diverse professions in one joint partnership.
For more than a decade, G & P's attorneys, tax ad-visers and auditors have assisted their clients in achieving business goals by means of restruc-turings, mergers and acquisitions, privatizations, financings and other arrangements (e.g. also recapitalizations). Our partners and associates are well versed in the development of complete and integrated solutions that fit our clients' business objectives. Not only do we combine both tax and legal expertise, but we also develop consistent concepts from a business perspective. The result is: solutions which add value.
We are used to cooperating closely with counsels from other jurisdictions to ensure that our recommendations take full account of the respective legislative environments abroad. To intensify our cooperation with foreign law firms, we have joined the International Network of Leading Law Firms, a worldwide group of independent law firms. This network provides our firm the opportunity to serve the needs of our clients throughout the world.
We advise clients on the best structure for their special circumstances and reduce their risks with respect to future tax audits - whenever appropriate - by ob-taining binding rulings from the tax authorities. This enables our clients to take account of tax implications and assess their economic impact prior to proceeding with a reorganization.
Our attorneys, tax advisers and auditors analyze our clients' targeted acquisitions by means of a legal, tax and financial due diligence to reveal underlying risks and irregularities as well as potential opportunities. We also advise on the quality of financial projections and cash-flow forecasts and review other general and industry-specific value factors.
In the course of privatizations of public sector enterprises (e. g. energy suppliers, water suppliers, sewage companies and hospitals), our law firm advises the privatizing public sector on the one hand as well as private investors as acquirers on the other. In the last couple of months our firm advised a major foreign investor in acquiring a 74.9 % stake in a German municipal utility stock corporation.
In the past months, the partners of our firm increasingly faced new tasks of supporting businesses in their efforts of recapitalization by way of establishing new business concepts as well as achieving and enforcing new structures of financing. These services were rendered partly upon mandate by the financing banks, partly upon mandate by the businesses themselves.
For years, our firm has assisted foreign companies with their investments in every region of Germany. Our consulting services comprise legal and tax structuring of acquisitions and joint ventures, as well as counseling in areas that are less familiar to foreign investors, such as labor law, environmental law and product liability issues.
The partners and associates of G & P regularly publish articles in professional journals on topics such as mergers & acquisitions, corporate law, corporate restructurings from a tax point of view as well as international tax law (in particular inter-company transfer pricing).
Furthermore, our firm holds seminars to address matters of interest to our clients. We had the privilege to host speakers from the Federal Finance Ministry and Federal State officials, university professors and leading representatives of trade associations.
